Prosper Capital provides regulatory services to young and growing businesses. We help individual businesses and funds to raise money from investors while complying with the law and financial services regulations.  These businesses can then access alternative sources of funding such as networks of sophisticated investors, family offices and crowdfunding.  We have helped to raise over £200 million for small businesses over the last 5 years. We have particular expertise in the technology, green energy, property and media sectors. As an FCA authorised firm we can approve financial promotions on behalf of companies seeking investment and help them to reach potential investors. We can help clients structure funds including providing alternative investment fund manager (AIFM) services and operating unregulated collective investment schemes (UCIS). We can also help your business to use exemptions from the regulations if these are available and provide an outsourced compliance service.

Services

Regulatory cover: if your business wants to do regulated business then Prosper can help you to navigate the regulations. We have experience of using exemptions from the regulations, directly approving offers on behalf of businesses and providing authorised representative services. We can help you decide which approach is best for your business. Our services are provided on a rolling basis and will change as your business grows. Many of our clients become directly regulated by the FCA and we can assist you in training up your staff, putting the systems in place that you will need and applying to become be regulated by the FCA.

Financial promotion: we can enable your business to raise money through local business and angel networks. We can help you to comply with financial regulations and to promote your business to investors online, by email and through networks of independent financial advisers.  Prosper provides training to sales teams and management to help ensure financial promotions are carried out in accordance with the FCA rules.

Funds: We currently act as the alternative investment fund manager for a number of property, EIS and other alternative investment funds. Prosper deals with the regulatory side of each fund leaving the business to concentrate on finding the right investors and the right businesses to invest in. 

Government-backed tax incentives: we do not do tax schemes but we can help you to get the most out of government-approved tax incentives such as the enterprise investment scheme (EIS) and the innovative finance ISA (IFISA).  Prosper is a long-standing member of the EIS Association and registered with HMRC as an IFISA manager
